These Terms and Conditions (“Terms”) govern the use of the website earthtribe.in and all commercial engagements with Earth Tribe Inc. Please read them carefully before accessing our website, submitting an enquiry, placing an order, or entering into any commercial discussion with us.
This website is owned and operated by Earth Tribe Inc, having its registered office at P-27, Second Floor, Office No. 3, Malviya Nagar, New Delhi – 110017, India (“Earth Tribe,” “Company,” “we,” “us,” or “our”).
Earth Tribe Inc is a business-to-business (B2B) company providing promotional merchandise sourcing, POSM fabrication, product customisation, corporate gifting solutions, design support, and pan-India delivery services to corporate clients, marketing agencies, FMCG brands, pharmaceutical companies, and other businesses.
We operate exclusively in the B2B segment. Our services, website, catalog, and pricing are intended for verified corporate buyers, procurement professionals, marketing teams, and business entities — not for individual retail consumers.
These Terms apply to all persons and entities (“Client,” “you,” “your”) who access or use the website earthtribe.in, submit any enquiry or purchase order, register for or access the product catalog, or enter into any commercial discussion or transaction with Earth Tribe Inc.
By taking any of the above actions, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you are engaging on behalf of a company, you represent that you have authority to bind that organisation to these Terms.
These Terms, together with any written quotation, purchase order confirmation, or project brief agreed between the parties, constitute the entire agreement between Earth Tribe Inc and the Client for the relevant engagement.
Catalog access — including pricing, product specifications, MOQ details, and customisation options — is available exclusively to verified B2B buyers. By registering, you confirm you represent a legitimate business entity and that your enquiry is for commercial or bulk procurement, not personal or retail use.
Registrations are reviewed manually. Earth Tribe Inc reserves the right to approve or decline any registration without providing a reason. Access credentials are personal and may not be shared with third parties.
You are responsible for providing accurate registration information. Earth Tribe Inc may suspend or revoke catalog access at any time in cases of misuse, credential sharing, false information, or conduct contrary to these Terms — without prior notice or liability.
Catalog content — including pricing, specifications, and supplier details — is confidential and provided for the registered buyer’s exclusive procurement evaluation. Reproduction, sharing, or commercial exploitation of catalog content without Earth Tribe’s prior written consent is prohibited.
All quotations are valid for 7 calendar days from the date of issue unless otherwise stated. Prices are subject to change after expiry, particularly where raw material costs, exchange rates, or logistics costs have changed. Any post-enquiry changes to specifications may require a revised quotation.
An order is confirmed only upon Earth Tribe Inc’s receipt of an email confirmation along with written purchase order and/or advance payment — whichever occurs first. Verbal agreements or WhatsApp messages alone do not constitute a confirmed order. Earth Tribe Inc is not obligated to commence sourcing or production until they confirm the receipt of an email confirmation along with written purchase order and/or advance payment.
All payments are by bank transfer (NEFT/RTGS/IMPS). All prices are exclusive of GST unless explicitly stated otherwise. Applicable GST and statutory levies are charged at prevailing rates and detailed in the invoice.
Where payment is not received by the agreed date, Earth Tribe Inc reserves the right to suspend production or dispatch without this constituting a breach of contract. Interest on overdue amounts may be charged as per the rules of MSME payment rule 43B(h).
Typographical or computational errors in quotations may be corrected at any time before an order is confirmed. If a pricing error is identified after order confirmation but before production, we will notify you and offer the option to proceed at the corrected price or cancel with a full refund of any advance.
If cancellation is requested within 48 hours of order confirmation and before any sourcing or procurement has commenced, the advance will be refunded in full. If sourcing has commenced but bulk production has not, Earth Tribe Inc will refund the advance less actual costs incurred, documented and communicated to the Client.
Important: Once bulk production has commenced — defined as the initiation of manufacturing, printing, fabrication, or customisation on the Client’s order — cancellation is not accepted and the full order value remains payable. Customised, branded, or personalised products cannot be restocked or resold. The full order value is non-refundable once production begins.
Requests to modify quantity, specifications, delivery address, or timeline after confirmation are subject to feasibility review and may result in a revised price, extended lead time, or both. Modifications are only binding when confirmed in writing by Earth Tribe Inc. We are not obligated to accommodate modifications once production has commenced.
For new products, first-time orders, or significant customisation, Earth Tribe Inc may produce a pre-production sample or digital proof for Client approval before bulk production. Samples may be physical or digital depending on product type and lead time requirements.
Sample development may involve a charge, particularly for physical samples requiring materials, production time, or tooling. Where applicable, sample charges will be communicated in advance and may be credited against the final order value at Earth Tribe’s discretion.
The Client is responsible for reviewing samples or proofs carefully before approving them for bulk production. Once written approval is provided — including via email or messaging platforms — Earth Tribe Inc will proceed to bulk production strictly based on the approved standard. Earth Tribe Inc accepts no liability for issues in bulk production that are consistent with an approved sample or proof.
Minor variations in colour, shade, texture, or finish between the approved sample and bulk production are inherent in manufacturing and do not constitute a defect. Clients with strict colour compliance requirements must specify the requirement before the beginning of the order and provide Pantone or equivalent colour codes at the time of order.
The Client is expected to review and approve samples or proofs within 2-3 business days of receipt. Delays in approval directly extend the production and delivery timeline. Earth Tribe Inc is not responsible for delivery delays caused by delayed Client approvals.
Indicative lead times are calculated from the date of both order confirmation and receipt of advance payment — whichever is later. Lead times are estimates and not guaranteed delivery dates unless explicitly confirmed as firm commitments in writing. Lead times may be affected by delays in Client artwork or approval, material availability, production capacity, statutory holidays, and logistics disruptions.
Earth Tribe Inc provides pan-India delivery coordination through its team or third-party partners. Risk of loss or damage transfers to the Client upon handover of the shipment to the logistics carrier or upon delivery to the Client’s premises, whichever is earlier.
Where time is of the essence — such as event-based or exhibition-based requirements — the Client must clearly state this at the time of enquiry and obtain written confirmation from Earth Tribe Inc of the confirmed delivery date before placing the order.
The Client must inspect all goods upon delivery and notify Earth Tribe Inc in writing of any visible damage, shortage, or discrepancy within 48 hours of receipt. Claims notified after this period may not be accepted. Signing the delivery receipt without noting damage constitutes acceptance of the goods as delivered.
A quantity tolerance of ±3–5% above or below the confirmed order quantity is standard in promotional merchandise and POSM production. Earth Tribe Inc will invoice for the actual quantity delivered within this tolerance.
If goods delivered are materially defective — inconsistent with the approved sample, containing manufacturing errors, or having significant quality failures not attributable to Client-provided artwork errors — the Client must notify Earth Tribe Inc in writing within 5 business days of delivery, with photographic evidence and a description of the defect.
Upon verification, Earth Tribe Inc’s sole obligation shall be, at its discretion: (a) replacement of the defective units, (b) a proportionate credit or refund for the defective portion, or (c) rework of the defective units where feasible.
Quality issues arising from Client-provided artwork — including low-resolution files, incorrect colour specifications, incorrect dielines, or typographical errors in approved artwork — are not covered under this defect policy. The Client bears full responsibility for the accuracy and quality of all artwork submitted for production.
All website content — including layouts, graphics, photographs, digital assets, product representations, catalog structures, and written materials — constitutes proprietary intellectual property of Earth Tribe Inc, protected under applicable Indian and international copyright, trademark, and related laws. Unauthorised copying, reproduction, scraping, or commercial exploitation is strictly prohibited.
Any third-party logos, brand names, or trademarks appearing on this website are displayed strictly for illustrative purposes to showcase customisation capabilities. All such intellectual property remains the exclusive property of its respective owners. No endorsement or affiliation with Earth Tribe Inc is implied or represented.
Artwork, logos, and brand materials submitted by the Client remain the intellectual property of the Client or their respective rights holders. Earth Tribe Inc receives a limited, non-transferable licence to use submitted materials solely for fulfilling the confirmed order. This licence does not extend to any other use, reproduction, or distribution.
Earth Tribe Inc may use images of completed projects for its portfolio and marketing materials. Earth Tribe Inc may seek the Client’s prior consent before displaying a project that includes their brand or identifiable trade dress. Clients with confidentiality requirements should notify us in writing at the time of order.
By submitting any artwork, brand asset, trademark, or copyrighted material, the Client irrevocably represents and warrants that:
Earth Tribe Inc expressly disclaims any obligation to verify the ownership or legal status of any materials submitted and shall rely entirely on the Client’s representations above.
The Client agrees to fully indemnify, defend, and hold harmless Earth Tribe Inc — including its proprietors, partners, directors, officers, employees, agents, affiliates, contractors, and vendors — from and against any and all claims, liabilities, penalties, damages, losses, settlements, and legal expenses (including reasonable attorney fees) arising from: (i) intellectual property infringement arising from Client-submitted materials; (ii) unauthorised use of trademarks or copyrighted material; (iii) regulatory violations related to product branding or distribution; (iv) misleading representations made by the Client; or (v) any distribution or commercial deployment of customised products by the Client or their agents.
This indemnity obligation shall survive the completion, cancellation, or termination of any engagement.
To the maximum extent permitted by applicable law, Earth Tribe Inc shall not be liable — whether in contract, tort, negligence, or otherwise — for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, business interruption, reputational damage, contractual penalties imposed by third parties, loss of data, or third-party claims against the Client.
In all circumstances, Earth Tribe Inc’s total aggregate liability to the Client arising out of or in connection with any single order or engagement shall not exceed the total amount actually paid by the Client to Earth Tribe Inc for that specific order giving rise to the claim. This limitation reflects a deliberate and reasonable allocation of commercial risk and is a fundamental basis on which Earth Tribe Inc prices its services.
Earth Tribe Inc shall not be in breach of these Terms or liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, government orders, logistics disruptions, raw material unavailability, or infrastructure failures.
In the event of a force majeure event continuing for more than 30 consecutive days, either party may terminate the affected order by written notice, with the Client entitled to a refund of any advance paid less costs reasonably incurred by Earth Tribe Inc up to the date of termination.
Earth Tribe Inc reserves the right to amend these Terms at any time. Updated Terms will be published on this page with a revised “Last Updated” date. Continued use of our website or services after publication of amended Terms constitutes acceptance of the revised provisions.
Earth Tribe Inc reserves the right to refuse, suspend, or terminate any engagement — without liability — where there is reasonable suspicion of intellectual property infringement, misrepresentation, fraud, non-payment, or material breach of these Terms.
In the event of any dispute, the parties agree to first attempt resolution in good faith through direct communication. The aggrieved party shall notify the other in writing, clearly describing the nature of the dispute and the remedy sought. The parties shall engage in good faith discussions for a period of 15 business days from the date of written notice before either party may initiate formal legal proceedings.
If the dispute is not resolved through direct communication within the 15-business-day period, the parties may, by mutual written agreement, refer the matter to a mutually agreed mediator before pursuing litigation. Mediation is voluntary and either party may terminate it at any time. If unresolved, either party may pursue their legal remedies through the courts as specified in Section 15.
These Terms and all engagements between Earth Tribe Inc and the Client shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Sale of Goods Act, 1930, and the Information Technology Act, 2000.
Any dispute requiring judicial resolution shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. By engaging with Earth Tribe Inc, the Client unconditionally submits to this jurisdiction.
Entire Agreement: These Terms, together with any written and confirmed quotation or purchase order, constitute the entire agreement between the parties and supersede all prior discussions and agreements.
Severability: If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary. The remaining provisions continue in full force.
Waiver: Any failure to exercise a right or remedy is not a waiver of that right. A waiver is only effective if given in writing and signed by an authorised representative of Earth Tribe Inc.
Assignment: The Client may not assign any right or obligation under these Terms without Earth Tribe Inc’s prior written consent.
No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
Notices: All formal notices must be in writing and delivered by email to [email protected] and by registered post to P-27, Second Floor, Office No. 3, Malviya Nagar, New Delhi – 110017.
